and expenses) incident thereto, shall return any and all personal property removed by <br />Landlord from the Premises and shall execute and deliver a new lease of the Premises to the <br />Leasehold Mortgagee or its nominee or to a purchaser, assignee or transferee satisfying the <br />conditions of Section 23.1, as the case may be, for the remainder of the Term, containing <br />the same covenants, agreements, terms, provisions and limitations as are contained herein. <br />Landlord agrees not to terminate any existing subleases, licenses or concessions affecting the <br />Premises upon the termination of this Lease on account of an Event of Default by Tenant <br />hereunder or on account of a rejection of this Lease by a bankruptcy trustee, unless (i) the <br />Leasehold Mortgagee shall not request a new lease of the Premises in accordance with this <br />Section 24.2(c), or (ii) the applicable sublessee, licensee or concessionaire shall be in default <br />under the terms of its sublease, license or concession, as the case may be, or shall not be <br />conducting its business as required under this Lease, or (iii) the applicable sublease, license <br />or concession agreement shall not otherwise comply with the terms of this Lease. <br />(d) Neither the bankruptcy nor the insolvency of Tenant shall operate nor permit <br />Landlord to terminate this Lease as long as all Rent specified in Article III above and all <br />other charges of whatsoever nature payable by Tenant continue to be paid in accordance with <br />the terms of this Lease. <br />(e) In the event of a default under any Leasehold Mortgage in favor of a <br />Leasehold Mortgagee, the Leasehold Mortgagee may exercise, with respect to the Premises <br />and the Improvements, or any portion thereof, any right, power or remedy under such <br />Leasehold Mortgage which is not in conflict with the provisions of this Lease. <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 85 <br />2574001\313983.8 <br />
