to commence to obtain possession of the Premises and the <br />Improvements (including possession by a receiver) within said sixty (60) day period, and, <br />thereafter, diligently proceed to obtain said possession, and, once said possession is obtained, <br />commence and diligently proceed to cure such default in the case of a default which can only <br />be cured when the Landlord has obtained possession thereof. <br />(f) Except as otherwise set forth in Section 24.3, during the period that a <br />Leasehold Mortgagee shall be in possession of the Premises and/or the Improvements and/or <br />during the pendency of any foreclosure proceedings instituted by a Leasehold Mortgagee, the <br />Leasehold Mortgagee shall pay or cause to be paid the Rent specified in Article III above <br />and all other charges of whatsoever nature payable by Tenant hereunder which have been <br />accrued and are unpaid and which will thereafter accrue during said period, to the extent the <br />amount of such charges are known or reasonably ascertainable by the Leasehold Mortgagee. <br />It shall be an Event of Default if, following the acquisition of Tenant's leasehold estate by <br />the Leasehold Mortgagee or its designee, the Leasehold Mortgagee or party acquiring title to <br />Tenant's leasehold estate fails to commence the cure of all defaults hereunder to be cured and <br />thereafter diligently process such cure to completion, except such defaults which cannot in <br />the exercise of reasonable diligence be cured or performed by the Leasehold Mortgagee or <br />party acquiring title to Tenant's leasehold estate, in which case Landlord's right to effect a <br />termination of this Lease based upon the default in question shall be deemed waived. Any <br />default that cannot reasonably be cured by the Leasehold Mortgagee or party acquiring title <br />to Tenant's leasehold estate shall be, and shall be deemed to have been, waived by Landlord <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 87 <br />2574001\313983.8 <br />
