(but only with respect to the Leasehold Mortgagee or other party acquiring said title) upon <br />completion of the foreclosure proceedings or acquisition of Tenant's interest in this Lease by <br />any purchaser at the foreclosure sale or who otherwise acquires Tenant's interest in the <br />Premises. The parties agree that the foregoing provision shall not be deemed or construed to <br />preclude Landlord from exercising any of Landlord's rights or remedies against Tenant <br />personally if and to the extent otherwise permitted under the terms of this Lease. <br />(g) Nothing herein shall preclude Landlord from exercising any of Landlord's <br />rights or remedies with respect to any other default by Tenant during any period of any such <br />forbearance, subject to the rights of any Leasehold Mortgagee as herein provided. <br />(h) All notices by Landlord to a Leasehold Mortgagee shall be given in the <br />manner provided under Section 19.1, addressed to the Leasehold Mortgagee at the address <br />last specified to Landlord by the Leasehold Mortgagee, and any such notice shall be deemed <br />to have been given and served when received by the Leasehold Mortgagee. <br />(i) In the event two or more Leasehold Mortgagees exercise their rights <br />hereunder, and there is a conflict which renders it impossible to comply with all such <br />requests, the Leasehold Mortgagee whose Leasehold Mortgage would be senior in priority if <br />there were a foreclosure shall prevail. Landlord shall have no. duty or obligation whatsoever <br />to determine the relative priority of the Leasehold Mortgages of such Leasehold Mortgagees, <br />and in the event of any dispute between or among such Leasehold Mortgagees, Landlord <br />shall have no obligation to act with respect to any conflicting requests or demands of such <br />Leasehold Mortgagees unless and until such dispute is resolved to the satisfaction of <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 88 <br />2574001\313983.8 <br />
