ACTA #A96-008.2 <br />MEMORANDUM OF UNDERSTANDING <br />AIRPORT GATEWAY AREA DESIGN PROJECT <br />This memorandum of understanding (MOU) is made on May 28, 1998 , by and between the City of <br />San Leandro, a municipal corporation ("San Leandro"), the City of Oakland, a municipal corporation <br />("Oakland"), the City of Oakland, a municipal corporation acting by and through its Board of Port <br />Commissioners ("Port"), and the Alameda County Transportation Authority, a public agency ('ACTA"), <br />referred to collectively as the "Parties." <br />Recitals <br />WHEREAS, the Cities of San Leandro and Oakland ("Cities") have completed and adopted a Joint <br />Revitalization Plan under the Association of Bay Area Governments' (ABAG) Comprehensive <br />Subregional Planning Project for the border area shared by the Cities; and <br />WHEREAS, the Port and ACTA as well as the Cities are involved in implementing projects in the <br />western portion of the Joint Revitalization Plan area more particularly described in Exhibit A, attached <br />hereto and incorporated herein (the "Gateway Area"); and <br />WHEREAS, the Parties agree that economic development for both Cities is an overall goal of all projects <br />in the Gateway Area and that the creation of a coordinated design theme for the Gateway Area would <br />enhance economic development opportunities; and <br />WHEREAS, the Parties agree that the projects being implemented by all Parties will benefit from a <br />coordinated design theme. <br />NOW, THEREFORE, the Parties hereto agree as follows: <br />1. PURPOSES. The Parties shall work together cooperatively to complete an Airport Gateway <br />Area Design Project ("Project"). The Parties shall select a design theme for the Gateway Area <br />and shall agree to design elements that implement the selected design theme. The design <br />elements may include, but are not limited to: <br />a. lighting <br />b. landscaping <br />c. banners <br />d. signage <br />e. a Gateway monument <br />f. street furniture <br />A more detailed description of the work product proposed for the Project is set forth in Exhibit B <br />attached hereto and incorporated herein. <br />2. FUNDING. The Parties shall each contribute equally toward the fee of the design team <br />selected to develop the Project. The agreed upon maximum fee is $15,000 per Party. Available <br />ABAG funds shall also be used toward payment of the selected design team's fees. Each Party <br />shall be responsible for their respective staff costs related to the Project. In the event that the <br />total design team fee exceeds $60,000, then the Parties shall mutually agree to either: (1) reduce <br />project scope and cost; or (2) increase each Parry's financial participation equally. No Party <br />shall be liable for more than $15,000 without written modification of this agreement. <br />
