Section 1.9 Facility; Facilities <br />The conference center and hotel facility, including, without limitation, all Facility <br />Improvements and Public Improvements, to be developed, constructed and operated by Tenant <br />on or in the vicinity of the Site in accordance with this Lease. <br />Section 1.10 Facility Improvements <br />The conference center and guest accommodation buildings and related improvements to <br />be constructed and located on and within the Premises in accordance with this Lease. Certain of <br />the Facility Improvements shall also constitute Public Improvements, as provided in Section <br />1.24. <br />Section 1.11 Force Majeure <br />Earthquake, fire or other casualty, flood, landslide, epidemic, unusual adverse weather not <br />reasonably anticipatable, "acts of God," war, civil disturbance, court ordered injunction, <br />intervention by civil or military authorities or government, strikes, lockouts, boycotts, other labor <br />disputes or other actions or activities undertaken by organized labor organizations, to the extent <br />any of the foregoing are beyond the reasonable control of either Landlord or Tenant, which cause <br />such party to be delayed or hindered in or prevented from the performance of any covenant or <br />obligation under this Lease other than the payment of money. <br />Section 1.12 Government Requirement <br />Any law, regulation, rule or order of any governmental entity affecting this Lease or the <br />development, construction or operation of the Site, the Improvements and/or Tenant's operation <br />of the Facility. <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT <br />002574.0001\409817.4 <br />PAGE 4 <br />
