held by Landlord as security for the faithful performance by Tenant of Tenant's obligation to pay <br />Base Rent (the "Security Deposit"). If Tenant defaults with respect to its obligation to pay Base <br />Rent, all unpaid principal and interest under the Security Reserve Note shall, at Landlord's <br />election, be immediately due and payable. Landlord may (but shall not be required to) use, apply <br />or retain all or any part of the Security Deposit so received by Landlord upon acceleration of the <br />Security Reserve Note to the payment of the Base Rent in default, or for the payment of any <br />amount which Landlord may spend or become obligated to spend by reason of Tenant's default <br />in the payment of Base Rent, or to compensate Landlord for any other loss or damage which <br />Landlord may suffer by reason of such default. If any portion of the Security Deposit is so used <br />or applied Tenant shall, within five (5) days after written demand therefor, deposit cash with <br />Landlord in an amount sufficient to restore the Security Deposit to its amount immediately <br />preceding such use or application, and Tenant's failure to do so shall constitute an Event of <br />Default under this Lease. Interest shall accrue and be paid under the Security Reserve Note as <br />provided therein. Landlord shall not be required to keep the Security Deposit separate from its <br />general funds, and shall not be deemed a trustee of the Security Deposit. If Tenant shall fully and <br />faithfully perform every provision of this Lease to be performed by it, the Security Reserve Note <br />and Tenant's obligation to pay principal and interest thereunder shall be cancelled and the <br />Security Reserve Note returned to Tenant on the date ten (10) years following the Base Rent <br />Commencement Date. <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT <br />002574.0001\409817.4 <br />PAGE 22 <br />
