Commencement Date and Term: This Agreement is effective immediately upon execution <br />and delivery by both parties and the execution and delivery of counterparts of this <br />Agreement by other Participants with accounts which when combined with the Accounts <br />totals an estimated three hundred seventy thousand (370,000) mWh in a one (1) year <br />period. The Commencement Date for Public Agency is the latest date on which any one <br />of its Accounts is placed in direct access status by the UDC. This Agreement terminates <br />one (1) full year after the latest Commencement Date for any Participant. <br />32. Severability: If any provision of this Agreement or the application of any such provision <br />will be held by a court of competent jurisdiction to be invalid, void, or unenforceable to <br />any extent, the remaining provisions of this Agreement and the application thereof will <br />remain in full force and effect and will not be affected, impaired, or invalidated. <br />33. Captions: The captions appearing in this Agreement are inserted as a matter of <br />convenience and in no way define or limit the provisions of this Agreement. <br />10 <br />
