liability, loss, damage, costs or expense, including attorney's fees, <br />which it may incur or sustain by reason of said deed of trust or any <br />action taken to foreclose or otherwise realize upon the secured prop- <br />erty. OSC at its own expense shall cause any such action to be <br />defended or the claim which is the cause thereof to be otherwise <br />satisfied and discharged. <br />In the event any proceedings shall be commenced to foreclose upon <br />the deed of trust, OSC agrees to cause those proceedings to be defended <br />or satisfied and discharged without expense to the City. If after ten <br />days' written notice given to OSC by the City, OSC fails, refuses or <br />neglects to defend or satisfy and discharge the claim which is the cause <br />of those proceedings, the City may defend or satisfy and discharge that <br />claim at the expense of OSC. OSC agrees to pay the City, on demand, <br />any costs incurred in that defense or sums paid to satisfy and dis- <br />charge the claim together with interest thereon at the rate of seven <br />percent per annum from the date of such payment by the City until paid. <br />This agreement shall inure to and bind the successors and assigns <br />of the parties hereto. <br />CITY OF SAN LEANDRO <br />OAKLAND SCAVENGER COMPANY, <br />a California corporation <br />-2- <br />
