or the interests of any corporation, partnership or association in which he or she is <br />directly or indirectly interested. <br />19. Non -Liability of Officials, Employees and Agents. No member, official, <br />employee or agent of either party shall be personally liable to the other party or its <br />assignee or successor in the event of any default or breach by the party or for any <br />amount which may become due to a party or its assignee or successor on any <br />obligation under the terms of this Agreement. <br />20. Amendment. This Agreement may be amended or modified only by a <br />written instrument executed by the parties hereto. <br />21. Governing Law.
