FE: f)51 N, 407/ <br />A T' 08w- <br />THIS INDENTURE, made this_. day of , <br />1962, between CROCKER-ANGLO NATIONAL BANK, a nat oval banking <br />association, successor by consolidation to Crocker First National <br />Bank of San Francisco as Trustee under the existing First and <br />Refunding Mortgage of The Western Pacific Railroad Company, a <br />corporation, dated as of January 1, 1951, First Party, and <br />THE WESTERN PACIFIC RAILROAD COMPANY, a California corporation, <br />Second Party, <br />W I T N E S S E T H: <br />WHEREAS, Second Party has contracted to convey the <br />hereinafter described real property pursuant to authorization <br />of Section 11.07 of said First and Refunding Mortgage; and <br />WHEREAS, said mortgage is a lien of record on said real <br />property; and <br />WHEREAS, Second Party has requested First Party as Trustee <br />of said First and Refunding Mortgage, in writing, to release <br />said real property from the lien of said First and Refunding <br />Mortgage in order to clear the title of record to said real <br />property from the lien thereof, and in compliance with Section <br />11.07 of said First and Refunding Mortgage has delivered to <br />First Party an Officers' Certificate specifying the real prop- <br />erty to be released and the value thereof, stating that said <br />real property is not used or useful for railroad purposes, and <br />stating the value of all property theretofore sold, exchanged <br />or otherwise disposed of by Second Party pursuant to said <br />Section 11.07 within the calendar year 1962; and <br />WHEREAS, Second Party is authorized by said Section 11.07 <br />to convey said real property free from the lien of said mortgage <br />-1- <br />
