<br />Consulting Services Agreement between City of San Leandro and 3/30/2022 <br />ARWS for R/W & Easements for MacArthur/Superior Roundabout <br />& Washington Avenue Reconstruction Exhibit A – Page 3 of 4 <br />If agreement with owner cannot be reached, Consultant will advise the City that negotiations have reached <br />an impasse. The City will consider scheduling of an action in eminent domain including the required public <br />necessity hearing. AR/WS will provide condemnation support as needed and requested, budget allowing. <br /> <br />Consultant shall make every reasonable effort to acquire property on behalf of the City expeditiously <br />through agreement with its owner and to avoid litigation. This may necessitate greater levels of effort in the <br />negotiations phase and, where appropriate, should continue after eminent domain has been initiated. City <br />will provide ongoing feedback to Consultant as to authorization for settlements. <br /> <br />If requested, Consultant will establish a process of coordinating escrow closings and reviewing escrow <br />instructions. Where there are escrow closings, preparation of escrow instructions will be completed by title <br />company. Approval of escrow instructions will be done by the City. <br /> <br />Appraisal Review <br />Consultant shall review the appraisal report to be provided by the City using the various standards <br />prescribed by the Federal and State Uniform Acts, Federal Highway Administration, Caltrans appraisal <br />procedures, Uniform Standards of Professional Appraisal Practice (USPAP) and the California Eminent <br />Domain codes. <br /> <br />Consultant shall: <br />- Prepare a summary of the appraisal process and provide comments regarding any omissions or <br />problems with the reports, or items that require further clarification. <br />- Coordinate with the appraiser, and if necessary, comments will be provided to the appraiser for <br />discussion. <br />- Communicate with the City to clarify potential issues and notify City of progress. <br />- If required by City, review comments will be provided to City at the same time they are sent to the <br />appraiser. <br />- Prepare an appraisal review report upon satisfactory completion of the appraisal report <br /> <br />Right-of-way Certification <br /> <br />Consultant shall: <br />- Coordinate with the City and Project team members for preparation of the Right of Way <br />Certification <br />- Provide Draft Right of Way Certification for approval by City, in accordance with the Caltrans Right <br />of Way Manual. <br />- Submit supporting documentation along with the Right of Way Certification. Supporting <br />documentation may include contracts, Orders for Prejudgment Possession, diary notes, and right <br />of way sufficiency forms. <br />- Coordinate processing of the Right of Way Certification with Caltrans. <br /> <br />Deliverables <br />- Draft Acquisition Documents for approval. <br />- Memorandum of Settlement and Signed Agreement (upon settlement). <br />- Notice that negotiations have reached an impasse (if needed). <br />DocuSign Envelope ID: 462AF196-5AA9-45A0-B8E9-A30937370CEF
