<br />Consulting Services Agreement between City of San Leandro and <br />KNN Public Finance Exhibit A – Page 1 of 2 <br />EXHIBIT A <br />SCOPE OF SERVICES <br />The Consultant has the qualifications and capabilities to assist the City with its required Scope of <br />Services. The Consultant intends to deliver advice on any topic area that involves municipal <br />finance in the context of both ongoing, general advisory and debt issuance needs. <br />I. General Advisory and Pre-Transaction Services <br />a. Serve as an Independent Registered Municipal Advisor (IRMA) to the City. <br />b. Review third-party recommendations submitted to Consultant in writing by the City if acting in the <br />capacity of an IRMA with regard to the IRMA exemption of the SEC Rule. <br />c. Conduct general financial analysis. <br />d. Prepare preliminary financing plans and debt service schedules for proposed financings . <br />e. Evaluate impact of potential new debt on City debt ratios and other credit metrics. <br />f. Develop financing plan for capital improvement needs. <br />g. Prepare cash flow analysis for revenue bonds and capital financing plans. <br />h. Identify and evaluate funding alternatives and financing options for General Fund, Water Pollution <br />Control Plant Enterprise, or other department capital needs – i.e. lease financings (Certificate of <br />Participation or Lease Revenue Bonds), general obligation bonds, revenue bonds, special tax bonds, <br />special assessment bonds, and other types of loans and borrowings. <br />i. Rating agency outreach and surveillance. <br />j. Investor outreach and relations programs. <br />k. Assist in developing City debt and other policies. <br />l. Monitor refunding opportunities. <br />m. Cash flow analysis (TRANs, revenue bonds, capital financing plans). <br />n. Pension and OPEB funding analysis. <br />o. Assist preparation of Council agenda transmittals. <br />p. Provide municipal finance educational workshops for staff and Council. <br />q. Establish "Best Practices" for disclosure and continuing disclosure compliance. <br />r. Continuing disclosure filings and compliance. <br />s.
