<br />For valuable consideration, receipt of which is hereby
<br />acknowledged,
<br />THE REDEVELOPMENT AGENCY OF THE CITY OF SAN LEANDRO/a public
<br />body, corporate and politic, of the State of California, herein called
<br />"Grantor", acting to carry out the Redevelopment Plan, herein called
<br />"Redevelopment Plan", for the Plaza I Redevelopment Project, herein
<br />called "Project", under the Community Redevelopment Law of California,
<br />hereby grants to Plaza Partners, a Limited Partnership, herein called
<br />"Grantee", the real property, hereinafter referred to as the
<br />"Property", described in the document attached hereto, labeled Exhibit
<br />"A" and incorporated herein by this reference.
<br />1. The Property is conveyed subject to the Redevelopment Plan
<br />and pursuant to a certain Disposition and Development Agreement
<br />entered into by and between Grantor and Grantee as of December 15,
<br />1980. The Disposition and Development Agreement is hereinafter
<br />referred to as the "DDA".

<br />assigns and every successor in interest that during construction
<br />thereafter, the Grantee, its successors and assigns shall devote
