81-2�51. 24 <br />(a) The guidelines shall be modified to an extent and in <br />a manner that, under the circumstances that exist at <br />that time and in the opinion of Grantee and Grantor <br />will provide reasonable assurance that 95 percent of <br />Parcels 4 and 6 can be leased within six additional <br />months; and <br />(b) To the extent that Grantor thereafter rejects tenants <br />proposed by Grantee, Grantor shall lease the <br />corresponding tenant space. The term of such lease <br />shall commence 12 months after issuance of the <br />Certificate of Completion by Grantor if no lease is <br />executed with a tenant acceptable to Grantor for such <br />space during that period. Such lease shall be for a <br />term of five years and shall be upon Grantee's <br />standard shop lease form with appropriate <br />modifications necessitated by the fact that Grantor <br />is not a shop tenant, shall include an annual CPI <br />adjustment and shall provide for rental payments <br />equal to the average minimum annual rental payment <br />for space in the same building already leased. Said <br />lease with Grantor shall terminate upon the execution <br />of a replacement lease with a shop tenant who leases <br />the same shop tenant space. Grantee shall use all <br />good faith, diligent and reasonable efforts to obtain <br />tenants that meet Grantor's guidelines. Grantor <br />shall seek alternative tenants for any tenant space <br />it so leases from Grantee and shall have the right to <br />sublease such space to tenants that meet those <br />guidelines and are acceptable to Grantee, <br />notwithstanding the fact that the rental payment from <br />such subleases may be less than the average minimum <br />annual rental payment for space in the same building <br />already leased; provided, however, in such event the <br />lease to Grantor shall not be terminated until such <br />time as said shop space in question is leased to <br />third party tenants at a rental equal to the then <br />average minimum annual rental being charged for the <br />building in which said tenant space is located. <br />
