81-2�51. 24 (a) The guidelines shall be modified to an extent and in a manner that, under the circumstances that exist at that time and in the opinion of Grantee and Grantor will provide reasonable assurance that 95 percent of Parcels 4 and 6 can be leased within six additional months; and (b) To the extent that Grantor thereafter rejects tenants proposed by Grantee, Grantor shall lease the corresponding tenant space. The term of such lease shall commence 12 months after issuance of the Certificate of Completion by Grantor if no lease is executed with a tenant acceptable to Grantor for such space during that period. Such lease shall be for a term of five years and shall be upon Grantee's standard shop lease form with appropriate modifications necessitated by the fact that Grantor is not a shop tenant, shall include an annual CPI adjustment and shall provide for rental payments equal to the average minimum annual rental payment for space in the same building already leased. Said lease with Grantor shall terminate upon the execution of a replacement lease with a shop tenant who leases the same shop tenant space. Grantee shall use all good faith, diligent and reasonable efforts to obtain tenants that meet Grantor's guidelines. Grantor shall seek alternative tenants for any tenant space it so leases from Grantee and shall have the right to sublease such space to tenants that meet those guidelines and are acceptable to Grantee, notwithstanding the fact that the rental payment from such subleases may be less than the average minimum annual rental payment for space in the same building already leased; provided, however, in such event the lease to Grantor shall not be terminated until such time as said shop space in question is leased to third party tenants at a rental equal to the then average minimum annual rental being charged for the building in which said tenant space is located.
