SETTLEMENT AGREEMENT AND RELEASE OF ALL CLAIMS <br />This Agreement is made by and between Steve Stahl, dba USA Paytel ("USA Paytel"), <br />and the San Leandro Redevelopment Agency, a public body corporate and politic ("Agency"), <br />together collectively as the "Parties" on the'ylshday of ,,As- - , 2005. <br />RECITALS <br />WHEREAS, Stahl -Wooldridge Construction Company ("Stahl -Wooldridge") owned the San <br />Leandro Islander Motel (the "Property"); and <br />WHEREAS, USA Paytel operated a coin -operated laundry service, pay phones, and vending <br />machines on the Property under contract with Stahl -Wooldridge; and <br />WHEREAS, two conditions of the Agency's acquisition of the Property were that Stahl - <br />Wooldridge cancel its contract with USA Paytel and the Agency would pay ten thousand dollars <br />($10,000) in lieu of relocation benefits to USA Paytel in exchange for USA Paytel releasing all <br />claims for such benefits against the Agency; and <br />WHEREAS, the Board of Directors of the Agency has approved the settlement of this matter as <br />set forth herein. <br />NOW, THEREFORE, the Parties agree as follows: <br />SETTLEMENT AND RELEASE AGREEMENT <br />A. Payments and Consideration <br />1. The Agency shall pay USA Paytel the amount of ten thousand dollars ($10,000) in exchange <br />for a full and final release as set forth herein. <br />2. Upon receipt of the payments from the Agency, USA Paytel hereby releases any and all <br />claims against the Agency for relocation benefits. <br />B. Covenant Not To Sue <br />USA Paytel hereby promises to never bring legal action against the Agency for relocation <br />benefits and forever releases any and all claims pursuant to this Agreement that have existed, <br />exists, or may exist in the future. <br />C. Waiver of Attorneys Fees and Litigation Costs <br />Each of the Parties waives its rights, if any, to recover any sum as and for its recoverable costs of <br />suit, including reasonable attorneys' fees, and each of the Parties will bear its own fees and costs. <br />D. Time of the Essence <br />
