98328429 <br />11. NOTICES. Any notice required or permitted under this Option Agreement <br />shall be sent by United States mail, postage prepaid, registered or certified, <br />addressed as follows: <br />If to Optionors: Thomas K. McManus, Jr. <br />Janet Ann McManus <br />4037 Natasha Drive <br />Lafayette, CA 94549 <br />If to Optionee: Steven R. Meyers, City Attorney <br />MEYERS, NAVE, RIBACK, SILVER S& WILSON <br />777 Davis Street, Suite 300 <br />San Leandro, CA 94577 <br />Either Optionors or Optionee may change its address for purposes of notice by giving <br />notice to the other party pursuant to this section. <br />12. MISCELLANEOUS PROVISIONS. <br />12.1 Voidable Transfers. Any attempt to sell, convey, transfer, assign, <br />lease, mortgage, or hypothecate the Property in violation of the terms of <br />this Option Agreement shall be voidable at the election of Optionee. <br />12.2 Assignment. Optionee may assign its rights under this Option <br />Agreement. In the event of any assignment of Optionee's rights, the <br />assignor shall not be liable to Optionors for any failure on the part of <br />the assignee to consummate a purchase of the Property or to comply <br />with the terms of this Option Agreement. <br />12.3 Severability. The provision of this Option Agreement are severable. <br />Invalidation of any provision by law, judgment, or court order shall not <br />affect the validity of any other provision. <br />12.4 Attorney's Fees. In the event of any .litigation to enforce the <br />provisions of this Option Agreement, the prevailing party shall be <br />entitled to reasonable attorney's fees and litigation expenses as awarded <br />by the court. <br />5 <br />
