be deemed to exist and this Lease shall not be terminated by Landlord so long as the <br />Beneficiary shall, in good faith, have commenced to rectify any claimed default or to <br />exercise its rights to acquire the leasehold interest of Tenant or commence foreclosure <br />or other appropriate proceedings, and to prosecute the same to completion with <br />diligence and continuity; provided, however, that the Beneficiary shall not be <br />required to continue such foreclosure proceedings if such default is cured. <br />8.1.5. From and after receiving the Beneficiary's Notice, neither <br />Landlord nor Tenant shall cancel, terminate, surrender, modify or amend this Lease <br />in any respect without the prior written consent of the Beneficiary. No Beneficiary <br />shall become liable under the provisions of this Lease, unless and until such time as it <br />becomes, and then only for so long as it remains, the owner of the leasehold estate, <br />and such liability shall be limited to the monthly rent due hereunder as it accrues, <br />and the insurances required to be carried hereunder and to its interest in the <br />Premises. <br />8.1.6. Foreclosure of a Leasehold Deed of Trust, or any sale thereunder, <br />Whether by judicial proceedings or by virtue of any power contained in the Leasehold <br />Deed of Trust, or any conveyance of the leasehold estate created hereby from Tenant <br />to Beneficiary through, or in lieu of, foreclosure or other appropriate proceedings in <br />the nature thereof, shall not require the consent of Landlord nor shall it constitute a <br />breach of any provision of or a default under this' Lease, and upon such foreclosure, <br />sale or conveyance Landlord shall recognize Beneficiary, or any other foreclosure sale <br />purchaser, as Tenant hereunder. <br />8.1.7. If a Beneficiary shall acquire Tenant's interest in this Lease as a <br />result of a sale under said Leasehold Deed of Trust pursuant to a power of sale <br />contained therein, pursuant to a judgment of foreclosure, through any transfer in lieu <br />of foreclosure, or through settlement of or arising out of any pending or contemplated <br />foreclosure action, or in the event Beneficiary becomes Tenant under this Lease or <br />any new lease obtained pursuant to Section 8.1.8 below, such Beneficiary's right <br />thereafter to assign or transfer this Lease or such new lease shall be subject to the <br />requirements that the assignment or transfer must be to either an automobile <br />dealership with a franchise at the Marina Automall, or a business with retail <br />operations located on or near Marina Boulevard in the City of San Leandro. In the <br />event Beneficiary subsequently assigns or transfers its interest under this Lease after <br />acquiring the same by foreclosure or deed in lieu of foreclosure or subsequently <br />assigns or transfer its interest under any new lease obtained pursuant to Section 8.1.8 <br />and in connection with any such assignment or transfer Beneficiary takes back a deed <br />Automall Read Board Sign - Ground Lease <br />Final 5/07/97 Page 12 of 22 <br />
