8.2 Assignment. Tenant shall not assign or transfer, whether voluntarily, <br />involuntarily, or by operation of law, its interest in this Lease or any part of the <br />Premises except upon prior written approval of Landlord. <br />8.3 Subleases. Tenant shall not sublet any portion of the Premises without <br />the prior written approval of Landlord, except that Tenant shall be entitled to rent <br />space on the reader board sign to other automobile dealerships without Landlord's <br />prior written consent. <br />9. INSURANCE; INDEMNIFICATION <br />9.1 Duty to Maintain Insurance. Tenant shall obtain insurance acceptable to <br />Landlord from a company or companies acceptable to Landlord as set forth in <br />Exhibit C. The required documentation of insurance shall be furnished to Landlord <br />after execution of this Lease and prior to Tenant's entry. In addition, Tenant shall <br />not commence any construction or grading work or other physical work preparatory <br />to construction upon the Premises nor shall it allow its employees or subcontractors <br />or anyone to commence work until all insurance required by Section 5.1.4 has been <br />obtained, submitted and approved. <br />9.2 Policy Obligations. Tenant's indemnity and other obligations shall not be <br />limited by the foregoing insurance requirements. <br />9.3 Increases in Minimum Policv Limits. For insurance with no statutory <br />limit, and for which no other provision for inflation or cost -of -living increases is <br />provided in this Lease, policy limits may be periodically increase as follows: At three <br />(3) year intervals commencing in year four of the leasehold, Landlord may, upon <br />thirty (30) days' notice to Tenant, require Tenant to increase policy limits by <br />amounts which are standard for —Redevelopment Agency of the City of San Leandro <br />contracts. Landlord's waiver of any increase under this subparagraph shall not limit <br />the amount of any future increase. <br />9.4 Certificates of Insurance. Tenant shall furnish Landlord with copies of all <br />such policies promptly on receipt of them with certificates and endorsements <br />evidencing the insurance. Before entering upon the Premises, Tenant shall furnish <br />Landlord with binders representing all insurance required by this Lease. <br />9.5 Failure to Maintain Insurance. Proof of Compliance. Tenant shall deliver <br />to Landlord, in the manner required for notices, copies or certificates of all insurance <br />Autornall Read Board Sign - Ground Lease <br />Final 5/07/97 Page 14 of 22 <br />
