ASSIGNM)ENT/R-ELFASE <br />"I his General Assignment is entered as of i ietween the CITY OF <br />SAN LEANDRO, a municipal corporation, Assi ee, (hereinafter called "CITY"), and <br />JRN Lodging, L.L.0 , a limited liability company, Assignor (hereinafter called "JBN"). <br />RECITALS <br />A. JBN has quit -claimed all right and interest in the real property on South <br />Dike Road in the City of San Lcandro, County of Alameda, State of California, fully <br />descxibed in 1*ihibit A attached hereto and inenrporated in this Agreement <br />(hereinafter referred to as "Property'. <br />B Pursuant r.n the letter- dates] January 21, 1998, between the parties, JBN <br />has agreed to assign to CITY certain rights and interests relating to the Property. <br />For good and valuable consideration, the receipt. and sufficiency of which are <br />hereby acictiowledged, JBN and CITY agree as follows: <br />1. ASSIGNMENT. JRN hereby assigns, sells, transfers, sets over, and delivers <br />to CITY all of JBN's estate, right, title, and interest in and to the following: <br />(a) all arrhirecr's agreements, consulting agreements, engineering agreements, <br />utilitv contracts, service agreements, and maintenance agreements relating specifically <br />to the Property together with any warranties and guarantees made in favor of JBN <br />under any such •lgrer.mrnts; <br />(b) all liccrises, permits, approvals, entitlements, dedications, and other <br />development rights approved or granted by any governmental authorities or nthettk+se <br />in connection with the Property; <br />(c) any fees paid to any governmental agency or utility; <br />(d) all licenses, consents, easements, rights of way, and approvals issued, <br />approved, or granted by any private parties to make use of utilities and to insure <br />vehicular and pedestrian ingress and egress to the Property; <br />(e) all project files maintained by JBN in connection with the development, <br />operation, and ownership of the Property (not including any confidential matters <br />rClatlnl,� 501CIV l() JBN and its affiliates); <br />
