30- <br />15966623.1 <br />Section 24. Notices <br />Except for the notices required by Sections 10(c)(2) and 10(c)(4), any notices which any <br />Agency or the Authority may give to another Agency or the Authority in connection with this <br />Agreement will be given in writing and will be sent by (i) personal delivery, (ii) United States <br />registered or certified mail, return receipt requested, postage prepaid, addressed as set forth <br />below, or (iii) Federal Express or other equivalent overnight delivery system, addressed to the <br />party for whom intended, and addressed to the Agency at its address given below or to the <br />Authority at its principal office, as the case may be, or to such other address as any Agency or <br />the Authority may designate from time to time by written notice given as provided in this <br />paragraph. Service of notice pursuant to this paragraph will be deemed complete on the day of <br />actual delivery. <br />Section 25. Successors: Assignment <br />This Agreement will be binding upon and will inure to the benefit of the successors of the <br />Agencies. In the event of the consolidation of some, but less than all, of the Agencies, the <br />consolidated Agency will retain all of the rights and responsibilities of the former individual <br />Agencies which consolidated. <br />No Agency may assign any right or obligation hereunder without the consent of the <br />others. <br />Section 26. Severability <br />Should any part, term, or provision of this Agreement be decided by a final judgment of a <br />court to be illegal or in conflict with any law of the State of California, or otherwise be rendered <br />unenforceable or ineffectual, the validity of the remaining portions or provisions will not be <br />affected thereby. <br />Section 27. Section Headings <br />All section headings contained herein are for convenience of reference only and are not <br />intended to define or limit the scope of any provision of this Agreement.
