<br />Non-Professional Services Agreement between January 1, 2021 City of San Leandro and BrightView Landscape Services, Inc. dba Emerald Landscape Page 16 of 17 <br />10.10 Integration. This Agreement, including the scope of work attached hereto and incorporated herein as Exhibits A, B, C and D represents the entire and integrated agreement between City and Contractor and supersedes all prior negotiations, representations, or agreements, either written or oral. Exhibit A Scope of Services Exhibit B Compensation Schedule & Reimbursable Expenses Exhibit C COVID-19 Compliance Requirements Exhibit D California Labor Code Section 1720 Information 10.11 Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. 10.12 Certification per Iran Contracting Act of 2010. In the event that this contract is for one million dollars ($1,000,000.00) or more, by Contractor’s signature below Contractor certifies that Contractor, and any parent entities, subsidiaries, successors or subunits of Contractor are not identified on a list created pursuant to subdivision (b) of Section 2203 of the California Public Contract Code as a person engaging in investment activities in Iran as described in subdivision (a) of Section 2202.5, or as a person described in subdivision (b) of Section 2202.5 of the California Public Contract Code, as applicable. 10.14 Force Majeure. Contractor's performance will be excused without penalty to the extent Contractor is unable to perform as a result of accidents, acts of God, extreme weather conditions, inability to secure labor and/or products, fire, earthquake and rules, regulations or restrictions imposed by any government or governmental agency, national or regional emergency, epidemic, pandemic, health related outbreak or other medical events not caused by one of the parties, or other delays or failure of performance beyond the commercially reasonable control of Contractor. The parties agree that water conservation regulations or guidelines are specifically included within the above referenced regulations or restrictions, and that Contractor shall not be liable for any failure to perform as a direct or indirect result of Contractor’s compliance with or good faith efforts to comply with state or local water regulations or mandates 10.15 Chemical Disclaimer. All chemicals will be applied in accordance with manufacturer directions and applicable laws and/or regulations. Contractor does not provide representations, warranties, or assurances as that relate to Contractor’s use of chemicals during service, of any site with respect to periods before, during, or after services are performed. If, due to any change in applicable law or regulations subsequent to the date of this Agreement, performance of any services in the manner contemplated as of the date hereof shall become impracticable or impossible, Contractor shall have the right to immediately have this Agreement modified to comply with any change in any applicable laws and/or regulations.
