<br />Amendment No. 1 to <br />Non-Professional Services Agreement between City of San Leandro and 01/26/2023 <br />Pacific Coast Farmers Market Association for Management of Downtown San Leandro Farmers Market <br /> Page 1 of 3 <br />AMENDMENT NO. 1 TO NON-PROFESSIONAL SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />PACIFIC COAST FARMERS MARKET ASSOCIATION <br />FOR <br />MANAGEMENT OF THE DOWNTOWN SAN LEANDRO FARMERS MARKET <br /> <br />This Amendment No. 1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Pacific Coast Farmers Market Association (“Contractor”) (together sometimes referred to as the <br />“Parties”) as of February 3, 2023, and amends that certain Non-Professional Services Agreement <br />(“Agreement”) dated January 30, 2023, between the Parties. <br /> <br />WHEREAS, City and Contractor have executed the Agreement, pursuant to which Contractor has <br />provided certain services to City with regard to management of farmers market operations and marketing; <br />and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to expand the scope of services and <br />increase compensation. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Contractor a <br />sum not to exceed $9,000.00; and <br /> <br />2. Section 3.3 of Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to <br />read: <br /> <br />PCFMA will advertise and promote the Market as it determines appropriate in line with its experience as a <br />market operator, and commensurate with the increase in budget. PCFMA and City may use the other’s <br />name and logo in line with the other’s brand guidelines, if any. PCFMA and City may provide information <br />about Market operations—including days, hours, location, vendors, product and entertainment offerings, <br />and similar matters—on their websites, marketing materials, posters, vendor and other applications, social <br />media, and other marketing or outreach-oriented materials. Each of PCFMA and City will own signage, <br />banners, or other materials it may develop in connection with such marketing activities. <br /> <br />3. Section 3.7 of Exhibit A of the Agreement entitled “Scope of Services” is hereby added as <br />follows: <br /> <br />3.7 Entertainment <br />PCFMA will plan and provide quality musical entertainment on Market dates, commensurate with an <br />increase in the budget.
