- <br />Consulting Services Agreement between City of San Leandro and Last revised 03/10/2022 <br />Robert Half International Inc. for Staff Augmentation Exhibit B – Page 1 of 1 <br />EXHIBIT B <br /> <br />COMPENSATION SCHEDULE & REIMBURSABLE EXPENSES <br />Conversion fee <br /> <br />In the event City wishes to convert any of Consultant's Assigned Individuals from the finance & accounting <br />– contract talent practice group, City agrees to pay a conversion fee in accordance with this Section. City <br />agrees to pay a conversion fee if Consultant's Assigned Individual is hired by an affiliate or other related <br />business entity as a result of City's subsequent referral of the Assigned Individual or one of City's <br />customers as a result of Assigned Individual providing services to that customer. The conversion fee is <br />payable if City hires the Assigned Individual, regardless of the job classification, on either a full-time, <br />temporary (including temporary assignments through another agency) or consulting basis within twelve <br />months after the last day of the assignment. The same calculation will be used if City converts Consultant's <br />Assigned Individual on a part-time basis using the full-time equivalent salary. The conversion fee will equal <br />a percentage of the Assigned Individual's aggregate annual compensation, including bonuses according to <br />the following chart: <br /> <br />Hours billed and paid Conversion rate <br />0 – 240 hours 25% <br />241 – 480 hours 20% <br />481 – 720 hours 15% <br />721 – 960 hours 10% <br />961 hours or more 5% <br /> <br />Hiring Full-Time Engagement Professionals - Assigned Individuals placed through finance & accounting <br />full-time engagement professionals practice group (“full-time engagement Assigned Individuals”) are full- <br />time, salaried employees of RH, and clients are discouraged from directly hiring them. City agrees to seek <br />RH’s permission before you hire full-time engagement Assigned Individuals. City agrees to pay a <br />conversion fee in accordance with this Section. City agrees to pay a conversion fee if Consultant's full-time <br />engagement Assigned Individual is hired by an affiliate or other related business entity as a result of City's <br />subsequent referral of the full-time engagement Assigned Individual or one of City's customers as a result <br />of the full-time engagement Assigned Individual providing services to that customer. The conversion fee will equal 50% of the full-time engagement Assigned Individual’s aggregate <br />annual compensation, including bonuses. <br /> <br />TERMS OF PAYMENT: Invoices for temporary services are due upon receipt of invoice. The direct hire <br />fee is due upon receipt from the commencement of employment. The fee is the obligation of City. <br /> <br />GUARANTEE: Consultant ensures a one-day (8 hours) guarantee period.
