<br />Consulting Services Agreement between City of San Leandro and Last revised 3/3/2023 <br />EcoEngineers for RNG Offtake RFP Support Exhibit A – Page 1 of 1 <br /> <br />EXHIBIT A <br /> <br />SCOPE OF SERVICES <br />Task 1: RNG Offtake RFP & Consulting <br />1. Outline offtake strategies that can help revenue risk mitigation. <br />2. Outline common commercial terms for Wastewater Treatment Gas RNG projects. <br />3. Develop and disseminate a term sheet request: <br />a. Review offtake/end-use options, potential contracting scenarios, and typical terms and <br />conditions required. <br />b. Develop and share term sheet request and send to 5-10 potential offtake partners to <br />determine level of interest and basic terms. <br />4. Offtake partner(s) selection: <br />a. Review, analyze, and evaluate each offtake bid and provide summary comments on each. <br />b. Work with the production facility to understand the financial implications for each <br />offtake to overall project revenues. <br />c. Assist the production facility with analysis to select preferred partners. Setup phone calls <br />or meetings with each preferred partner. Answer questions to help the production <br />facility select offtake partner. <br />d. Assist with contract review of offtake agreement. <br />5. Gas marketing (if separate from RNG offtaker) <br />a. Contact potential physical gas marketers to sell natural gas produced by the facility. <br />b. Contact third-party gas schedulers to solicit benefits and costs; assist in determining if <br />it wants to outsource gas scheduling tasks or complete in-house. <br />6. Other offtake questions, as requested. <br /> <br />PROJECT TIMELINE <br />The project shall commence with an SOW contract and shall be substantially complete <br />according to the proposed timeline below.
