~ T <br />City, Authority, and Licensee are parties to that certain license agreement dated November 16, <br />1994 concerning the Licensed Property, recorded on February 7, 1995, in the Official Records of the <br />County of Alameda, as document number 95030015, which expires on November 30, 2002 ("Prior License <br />Agreement"), by which Licensee presently uses the Licensed Property for the purposes and subject to the <br />terms specified therein. <br />Licensee wishes to continue its use of the Licensed Property, subject to the terms and conditions <br />contained in this Agreement, and the consent of the City and Authority is necessary for Licensee to use and <br />occupy the Licensed Property. <br />NOW, THEREFORE, Authority, City, and Licensee agree as follows: <br />1. PURPOSE. This Agreement is made for the convenience of the Licensee and for the <br />benefit of the City and the Authority.- The parties hereto expressly find and declare that it is to the public's <br />benefit for City and Authority to permit Licensee, by virtue of this Agreement, to use the property of the City <br />and Authority for the purposes enumerated herein. This Agreement supercedes in each and every respect <br />the Prior License Agreement. <br />GRANT OF LICENSE. City and Authority grant to Licensee a revocable license to enter <br />upon and use the Licensed Property. This grant of license shall not constitute a grant of property rights. <br />3. USE OF LICENSED PROPERTY. Licensee, as owner and occupant of the Safeway <br />Parcel, and any tenant or other occupant, under authority from Licensee, of any portion of the Safeway <br />Parcel, including, but not limited to, Longs, shall have the exclusive right to use the Licensed Property, in <br />conjunction with their use and occupancy of any portion of the Safeway Property, for the sole purposes <br />described in Exhibit B, which is attached hereto and incorporated herein by this reference, and for no other <br />purposes. Licensee shall not permit the use of the Licensed Property by any other persons or businesses <br />unless prior written consent is obtained from Authority and City.
