<br />Art License Agreement between Casey Rickey and City of San Leandro Last Edited <br /> 06/28/2023 <br /> <br />ART LICENSE AGREEMENT <br /> <br />This Art License Agreement (“Agreement”) is made and entered into as of June <br />28, 2023 (the “Effective Date”) by and between Casey Rickey (“Licensor”) and the City of San <br />Leandro, a California charter city (“Licensee”), collectively hereinafter referred to as “the <br />Parties.” All references to the Licensee in this Agreement shall include Licensee’s officials, <br />affiliates, and subsidiaries unless specified otherwise. <br /> <br />1. SCOPE <br /> This Agreement applies to specific images, graphics, digital assets, and/or <br />digital images created by the Artist and described in Exhibit A (collectively known as “Images”). <br />This Agreement governs the relationship between the parties and in no communication or other <br />exchange shall modify the terms of this Agreement unless agreed to in writing signed by the <br />Parties. <br /> <br />2. TERM <br /> The term of this Agreement shall commence upon the Effective Date and <br />shall continue in perpetuity unless terminated pursuant to Section 2.1 herein. <br />2.1 This Agreement may be terminated by either Party upon thirty (30) days <br />prior written notice. <br />3. RIGHTS <br /> All Images and rights relating to them, including intellectual property and <br />ownership rights in the media in which the Images are stored, remain the sole and exclusive <br />property of the Licensor. This license provides the Licensee with a non-exclusive, worldwide, <br />irrevocable, perpetual, sublicensable, and royalty-free license to use, reproduce, publish, edit, <br />publicly display, and distribute the Images, in any manner or form, in whole or in part for an <br />unlimited amount of uses, and over an unlimited time period for the limited purpose of <br />promoting and marketing Licensee. Images used for any purpose not directly related to the <br />marketing of the Licensee must be done so with the express permission of Licensor and may <br />include the payment of additional fees, unless otherwise agreed to in writing. <br />DocuSign Envelope ID: 8B50F6A2-2138-4044-8F71-63C390AEA426
