This Agreement, including the scope of work attached hereto and incorporated herein <br />as Exhibits A, B, C and D represents the entire and integrated agreement between City and Contractor and <br />supersedes all prior negotiations, representations, or agreements, either written or oral. <br /> <br />Exhibit A Scope of Services <br />Exhibit B Compensation Schedule & Reimbursable Expenses <br />Exhibit C COVID-19 Compliance Requirements <br />Exhibit D California Labor Code Section 1720 Information <br /> <br />10.11 Counterparts. This Agreement may be executed in multiple counterparts, each of which <br />shall be an original and all of which together shall constitute one agreement. <br /> <br />10.12 Certification per Iran Contracting Act of 2010. In the event that this contract is for <br />one million dollars ($1,000,000.00) or more, by Contractor’s signature below Contractor <br />certifies that Contractor, and any parent entities, subsidiaries, successors or subunits of <br />Contractor are not identified on a list created pursuant to subdivision (b) of Section 2203 of <br />the California Public Contract Code as a person engaging in investment activities in Iran as <br />described in subdivision (a) of Section 2202.5, or as a person described in subdivision (b) <br />of Section 2202.5 of the California Public Contract Code, as applicable. <br /> <br />10.14 Force Majeure. Contractor's performance will be excused without penalty to the extent <br />Contractor is unable to perform as a result of accidents, acts of God, extreme weather <br />conditions, inability to secure labor and/or products, fire, earthquake and rules, regulations <br />or restrictions imposed by any government or governmental agency, national or regional <br />emergency, epidemic, pandemic, health related outbreak or other medical events not <br />caused by one of the parties, or other delays or failure of performance beyond the <br />commercially reasonable control of Contractor. The parties agree that water conservation <br />regulations or guidelines are specifically included within the above referenced regulations <br />or restrictions, and that Contractor shall not be liable for any failure to perform as a direct <br />or indirect result of Contractor’s compliance with or good faith efforts to comply with state <br />or local water regulations or mandates <br /> <br />10.15 Chemical Disclaimer. All chemicals will be applied in accordance with manufacturer <br />directions and applicable laws and/or regulations. Contractor does not provide <br />representations, warranties, or assurances as that relate to Contractor’s use of chemicals <br />during service, of any site with respect to periods before, during, or after services are <br />performed.
