WHEREAS. Lessor and Lessee entered into a certain Communications Site Lease Agreement dated May 16. 2005. as amended by that certain First Amendment to Communications Site Lease Agreement dated August 26, 2010 ("First Amendment"), as further amended by that certain Second Amendment to Communications Site Lease Agreement dated May 31, 2011 (collectively, the "Lease"), whereby Lessor leases to Lessee certain Premises therein described, that are a portion of the real property located at 13800 Monarch Bay Drive, San Leandro, CA 94577 (the "Lessor's Property"); and WHEREAS, pursuant to Section 4 of the Lease, the term of the Lease is rive (5) years from the Commencement Date with an option to extend the term for three (3) additional terms of rive (5) years each; and WHEREAS, pursuant to the First Amendment, the term of the Lease was extended by one (1) Five (5) year term with two (2) additional three (3) year Renewal Terms beginning August 31. 2010 to August 31. 202E and WHREAS, the parties desire to memorialize the second Renewal Term of the Lease which expired on August 31. 2021, and extend the Term of the Lease to August 31.2026: and WHEREAS, Lessor and Lessee desire to adjust the Rent in conjunction with the renewal of the Lease contained herein: and WHEREAS, Lessor and Lessee desire to add relocation language to the Lease; and WHEREAS, Lessor and Lessee desire to amend the Lease to modify the notice section thereof. and WHEREAS. Lessor and Lessee, in their mutual interest, wish to amend the Lease as set forth below accordingly. 1. Incorporation of Recitals.
