<br />Amendment No. 1 to <br />Non-Professional Services Agreement between City of San Leandro and 9/7/2023 <br />Denali Water Services, LLC for Biosolids Hauling Page 1 of 2 <br />AMENDMENT NO. 1 TO NON-PROFESSIONAL SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />DENALI WATER SOLUTIONS, LLC <br />FOR <br />BIOSOLIDS HAULING <br /> <br />This Amendment No. 1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Denali Water Solutions, LLC (“Contractor”) (together sometimes referred to as the “Parties”) as of <br />September 8, 2023, and amends that certain Non-Professional Services Agreement (“Agreement”) dated <br />April 30, 2021, between the Parties. <br /> <br />WHEREAS, City and Contractor have executed the Agreement, pursuant to which Contractor has <br />provided certain services to City with regard to biosolids hauling; and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to adjust the end date and price per ton. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the <br />term from November 30, 2022, to November 30, 2024; and <br /> <br />2. Exhibit B of the Agreement entitled “Compensation Schedule & Reimbursable Expenses” is <br />hereby amended to read: <br /> <br />Biosolids hauling will be compensated at the rate of $53.74 per ton. Tonnage may be determined <br />by field-site scales supplied by the Contractor or by an off-site certified scale approved by the <br />Contract Administrator prior to use, with documentation of each load required to be submitted to <br />the Contract Administrator. The maximum compensation will be $244,250.00. <br /> <br />This project does not include hourly fees or reimbursable expenses. <br /> <br />3.
