Non-Professional Services Agreement between April 30, 2021 <br />City of San Leandro and Denali Water Solutions Exhibit A Page 1 of 1 <br /> EXHIBIT A <br /> <br />SCOPE OF SERVICES <br /> <br />The Contractor will haul up to 5,000 wet tons of anaerobically digested Class A and B municipal sewage biosolids. <br />Up to 500 wet tons of the biosolids will be Class A and have a moisture content of about 14%. The remaining <br />biosolids are Class B with a moisture content of about 50%. Upon loading into trucks, the volume may be expected <br />to expand by about 10%. The biosolids will be stockpiled on asphalt-paved drying beds at the Water Pollution <br />Control Plant. There is good access and egress from the biosolids storage area. There is a sand drainage area <br />within the mid-section of each bed. This drainage area must not be driven upon or crossed with heavy equipment. <br />The beds or City property must not be damaged in any way. <br /> <br />The Laboratory analysis will be made available upon request. These biosolids will meet EPA Part 503 Biosolids <br />Rule for CLASS A or CLASS B BIOSOLIDS. <br /> <br />The stockpiled biosolids might have areas within the stockpile that are hot, smoking and/ or smoldering. All loads <br />must be covered; therefore, the Contractor will be responsible for cooling any hot spots to prevent possible damage <br />to covers, tarps, etc. <br /> <br />Disposal options must be approved by the Contract Administrator for the City of San Leandro and positively <br />confirmed. If the biosolids are to be spread on land, they must be applied at appropriate agronomic rates and the <br />Contractor must obtain the necessary certifications and permits. The City will provide analysis for the material. The <br />Contractor must select a disposal option and provide verification of that option prior to submitting their bid to the <br />City. It is the Contractor’s responsibility to select an option that conforms to applicable Federal, State, and local <br />criteria for this particular material. Copies of all transportation and disposal documents are required by the City of <br />San Leandro. The Project and/or other City employees may request to witness the placement of biosolids for land <br />application. <br /> <br />Biosolids Removal Strategy <br />The Contractor shall load, haul, and legally dispose of the biosolids. The biosolids may be hauled up to four times <br />over the term of the contract. Contractor shall pay for all equipment rental, permits, receiving facility fees, tariffs, and <br />personnel costs incurred in legally disposing of the biosolids. Any negligence on the Contractor’s part shall be <br />rectified by the Contractor. <br /> <br />The contract is on a per ton basis. Tonnage may be determined by field- site scales supplied by the contractor; or by <br />an off-site certified scale approved by the Contract Administrator prior to use, with documentation of each load <br />required to be submitted to the Contract Administrator. Dust control shall be the responsibility of the Contractor <br />during the loading and hauling operation. Plant effluent water (No. 3 water) is available for use by the Contractor if <br />the Contractor wishes to lightly water down the loaded material to assist in dust control. Said practice shall be <br />performed after each load weight has been determined. All trucks shall be tarped. <br /> <br />Documentation <br />The Contractor shall supply copies of transportation manifests for each load. The Contractor is solely responsible for <br />cleanup of any spills on public or private streets or properties. The costs of any fines from improper management or <br />accidental spillage shall be borne by the Contractor in its entirety. <br /> <br />LIQUIDATED DAMAGES: Failure to start and complete all work specified within the time allowed shall constitute <br />material breach of contract. The "time allowed" will be calculated from the date of the Notice to Proceed through the <br />end date indicated by the City in the Non-Professional Services Agreement. Failure of successful Bidder to <br />complete the work or deliver the goods within the time allowed will result in damages, and for each consecutive day <br />in excess, the contractor shall pay to the City the sum of $250 per calendar day.
