<br />-31- <br />15966623.1 <br />Section 28. Incorporation of Schedules <br />Schedules A through I, referred to herein, are incorporated in and made part of this <br />Agreement. <br />Section 29. Governing Law <br />This Agreement will be governed by, and construed and enforced in accordance with, the <br />laws of the State of California, without giving effect to conflict of law provisions. <br />Section 30. Jurisdiction <br />Any lawsuits between the parties arising out of this Agreement will be brought and <br />concluded in the State of California, which will have exclusive jurisdiction over such lawsuits. <br />With respect the venue, the parties agree that this Agreement is made in and will be performed in <br />Alameda County, unless otherwise agreed to by the parties to the dispute or pursuant to <br />California Code of Civil Procedure Section 394. <br />Section 31. Joint Drafting <br />All Agencies participated in the drafting of this Agreement and the Agreement will not be <br />construed against any Agency as the drafter. <br />Section 32. References to Laws <br />All references in this Agreement to laws and regulations will be understood to include <br />such laws and regulations as they may be subsequently amended or recodified, unless otherwise <br />specifically provided. In addition, references to specific governmental agencies will be <br />understood to include agencies that succeed to or assume the functions they are currently <br />performing. <br />Section 33. Counterparts <br />Execution of this Agreement may be accomplished by execution of separate counterparts <br />by each signatory. The separate executed counterparts, taken together, shall constitute a single <br />agreement.
