1 <br /> <br />COMMERCIAL REHABILITATION LOAN & GRANT AGREEMENT <br />(Outdoor Facilities Grant Program) <br /> <br /> This Commercial Rehabilitation Loan & Grant Agreement (this “Agreement”) is <br />entered into effective as of September 25, 2023 (the “Effective Date”) by and between <br />THE GUZMAN CORPORATION DBA LA PINATA RESTAURANT a California S- <br />Corporation (the “Owner”), and the City of San Leandro, a California charter city (the <br />“City”). City and Owner are hereinafter referred to as the “Parties.” <br /> <br />RECITALS <br /> A. Owner owns the business at and is leasing a portion of the property located at <br />2699 Merced St, San Leandro, CA 94577 (the “Premises”) in the City of San Leandro, <br />known as Alameda County Assessor’s Parcel No. 77A-646-19-1, as more particularly <br />described and depicted in Exhibit A. <br />B. The City offers a Commercial Rehabilitation Loan Program (the “Loan <br />Program”) pursuant to which the City provides loans for the rehabilitation of buildings <br />citywide to qualifying participants. <br />C. The City has established an Outdoor Facilities Grant Program (the “Grant <br />Program”) pursuant to which the City provides grants up to $25,000 in relief funds per <br />business for the transitioning of temporary outdoor operations to permanent code -compliant <br />outdoor operations. <br />D. Owner operates the Premises, and desires to construct certain improvements <br />for the benefit of the Premises. <br />E. Owner has requested, and City has agreed to provide a loan in the amount of <br />Twenty Thousand Dollars ($20,000) (the “Loan”) pursuant to the terms and conditions set <br />forth in this Agreement, for the purpose of construction of exterior and patio improvements <br />to be located on the Premises, all in accordance with Exhibit B attached hereto and <br />incorporated herein by this reference (the “Project”). <br />F. Owner has requested, and City has agreed to provide Outdoor Facilities <br />Grant funds in the amount of Twenty Five Thousand Dollars ($25,000) (the “Grant”) <br />pursuant to the terms and conditions set forth in this Agreement, for the purpose of <br />construction of exterior and patio improvements to be located on the Premises, all in <br />accordance with the Project. <br />G. The City has determined that (i) the Premises and the Project meet the Loan <br />Program and Grant Program eligibility requirements, (ii) provision a loan and grant for the <br />Project are in the interests of the health, safety and welfare of the residents of the City of <br />San Leandro (“City”), and (iii) the Loan and Grant are necessary to make the Project <br />economically feasible. <br />DocuSign Envelope ID: FEE47689-2EFE-4EE4-BAD7-6185FD2187CD
