<br />Amendment No. 1 to Last revised 9/13/2023 <br />Consulting Services Agreement between <br />City of San Leandro and Terraphase Engineering, Inc for Soil Risk Analysis <br /> Page 1 of 5 <br /> <br />AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />TERRAPHASE ENGINEERING, INC <br />FOR <br />SOIL RELOCATION RISK ANALYSIS <br /> <br /> <br />This Amendment No.1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Terraphase Engineering, INC (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />September 29, 2023, and amends that certain Consulting Services Agreement (“Agreement”) dated <br />December 13, 2022, between the Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to Soil Relocation Risk Analysis, and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to expand the scope of work to include a <br />characterization of sludge in former Polishing Pond and to prepare a risk-based technical memorandum for <br />reuse of soil stockpile material for the proposed treatment wetland project . <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the <br />term from December 31, 2023, to June 30, 2024; and <br /> <br />2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $93,930; and <br /> <br />3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />Task 4 – Planning and Preparation <br />Terraphase will prepare for the sampling, with additional effort required to plan for sampling in the <br />presence of standing water in the polishing pond. This effort will require sampling from a raft, using <br />appropriate personal protective equipment and specialized sampling equipment. This task will <br />include the procurement of field equipment and supplies. <br /> <br />We will prepare an activity-specific Health and Safety Plan and an internal work plan. We assume <br />that the documents will not be submitted to a regulatory agency. <br /> <br />Task 5 – Implementation <br />Terraphase will mobilize to the Site. Sampling will take place from a raft.
