<br />11 <br />(n) “Insurance Requirements” means the requirements, whether now or <br />hereafter in force, of any insurer or insurance carrier, any board of fire underwriters or any other <br />company, bureau, organization or entity performing the same or similar functions, applicable to <br />the Leased Premises and/or the Improvements, or any portion thereof, to the extent so applicable. <br />(o) “Leased Premises” means the Leased Premises as described in Exhibit A <br />and depicted on Exhibit B, together with the Project and any other improvements now or <br />hereafter located thereon, and together with all and singular rights, easements, licenses, <br />privileges and appurtenances thereunto attaching or in any way belonging thereto. <br />(p) “Lease Year” means the twelve month period commencing on the <br />Commencement Date of this Ground Lease and each anniversary thereof. <br />(q) “Legal Requirements” means all laws, statutes, codes, ordinances, <br />orders, rules, regulations and requirements of all Governmental Authorities and the appropriate <br />agencies, officers, departments, boards and commissions thereof, whether now or hereafter in <br />force applicable to Lessor, Lessee, the Leased Premises, the Improvements, or any portion <br />thereof, to the extent so applicable. <br />(r) “Net Condemnation Award” means the net amounts owed or paid to the <br />Parties or to which either of the Parties may be or become entitled by reason of any Taking or <br />pursuant to any agreement with any condemning authority which has been made in settlement of <br />any proceeding relating to a Taking, less any costs and expenses incurred by the Parties in <br />collecting such award or payment. <br />(s) “Party” means Lessor or Lessee, as applicable. Lessor and Lessee shall be <br />referred to collectively as the "Parties." <br />(t) “Person” means an individual, partnership, corporation, public benefit <br />corporation, trust, unincorporated association, or other entity or association. <br />(u) “Plans and Specifications” means those plans and specifications <br />approved by the Lessor for the rehabilitation and construction of the Improvements, as they may <br />be amended from time to time and as approved by Lessor. <br />(v) “Project” means the interim shelter and Navigation Center to be <br />rehabilitated, constructed and operated by Lessee on the Leased Premises. <br />(w) “Project Homekey Agreement” means the agreement that, if the Project <br />Homekey Grant is awarded, would be entered between Lessor, Lessee, and the State of <br />California, which would provide for the State of California to make the Project Homekey Grant <br />to the Project. <br />(x) “Project Homekey Grant” means the grant that, if awarded, would be <br />made by the State of California pursuant to the Project Homekey Agreement. <br />(y) “Regulatory Agreement” means the Declaration of Covenants which is <br />required to be executed and recorded in the official records of Alameda County pursuant to the <br />DocuSign Envelope ID: 6E2EA799-6D74-41E3-B3EE-3CD67DC0ACD0
