<br /> <br />Amendment No. 3 to Non-Professional Services Agreement 09/05/2023 <br />between City of San Leandro and MV Transportation, Inc. for Page 1 of 2 <br />FLEX RIDES Shuttle Paratransit Services <br />AMENDMENT NO. 3 TO NON-PROFESSIONAL SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />MV TRANSPORTATION, INC. <br />FOR <br />FLEX RIDES SHUTTLE PARATRANSIT SERVICES <br /> <br /> <br />This Amendment No. 3 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and MV Transportation, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />September 5, 2023, and amends that certain Non-Professional Services Agreement (“Agreement”) dated <br />July 1, 2020, between the Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to FLEX RIDES Shuttle Paratransit Services, and <br /> <br />WHEREAS, the Parties executed Amendment No. 1 to the original Agreement for Consultant to <br />extend the Term of Services to June 30, 2023, and increase compensation by an additional $604,582.89 <br />for a sum not to exceed $1,529,305.47; and <br /> <br />WHEREAS, the Parties executed Amendment No. 2 to extend the Term of Services from June 30, <br />2023 to September 30, 2023; and <br /> <br />WHEREAS, the Parties desire to further amend the Agreement to extend the Term of Services to <br />June 30, 2025; and <br /> <br />WHEREAS, the Parties desire to further amend compensation to the consultant for a sum not to <br />exceed $2,755,959.99, an increase of $1,226,654.52. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the <br />term from July 1, 2020, to June 30, 2025; and <br /> <br />2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $2,755,959.99, an increase of $1,226,654.52; <br /> <br />3.
