IMPORTANT NOTICE TO VENDOR
<br />1) This purchase order shall constitute the agreement. Changes or additional terms proposed by the seller in
<br />accepting or acknowledging this order shall not be binding unless accepted by a change order in writing by
<br />the buyer and neither buyer's lack of objections to said terms nor the acceptance of goods shipped pursuant
<br />hereto shall constitute or be deemed an agreement by the buyer to any of said terms.
<br />2) Invoices shall not combine charges for material from more than one purchase order.
<br />3) The seller shall hold the City of San Leandro, its officers, agents and employees, harmless from liability of
<br />any nature or kind on account of use of any copyrighted or uncopyrighted composition, secret process,
<br />patented or unpatented invention, articles or appliance furnished or used under this order.
<br />4) No charges for transportation, containers or packing will be allowed unless so specified in this order.
<br />5) Prepaid, freight charges shall be added to invoice on shipments sold F.O.B. point or origin. Do not ship
<br />freight collect.
<br />6) Billing terms/cash discount, if any will be computed from date of complete delivery of order or date of
<br />receipt of invoice, whichever is later.
<br />7) All material delivered and services rendered shall comply with City of San Leandro codes, the State of
<br />California Occupational Safety and Health Act of 1973, all applicable amendments thereof, occupational
<br />safety and health standards and safety orders of the Occupational Safety and Health Standards Board. To
<br />the fullest extent legally required and applicable, Contractor shall have an Injury and Illness Prevention
<br />Program (IIPP) that conforms to all applicable federal, state and local laws, and shall provide a copy of its
<br />current version to the City upon request.
<br />8) For supplies and materials which require installation or other labor or services and not under formal
<br />contract, the seller hereby acknowledges and agrees with the City that in performing any labor or services
<br />required to conform to this purchase order, the seller acts as an independent contractor and not an
<br />employee or agent of the City; and that, further, as such seller and independent contractor he indemnifies
<br />against and saves harmless the City from any and all claims for damages arising out of the performance of
<br />such labor and services and the performance of the requirements hereof.
<br />9) This order is not assignable without consent of the Purchasing Agent.
<br />10) The contractor will not discriminate against any employee or applicant for employment because of race,
<br />color, religion, physical handicap, sex, or national origin. The contractor will take affirmative action to ensure
<br />that applicants are employed, and that employees are treated during employment, without regard to their
<br />race, color, religion, physical handicap, sex, or national origin. Such action shall include, but not be limited to
<br />the following: Employment, upgrading, demotion, or transfer, recruitment or recruitment advertising ; layoff or
<br />termination; rates of pay or other forms of compensation; and selection for training, including, apprenticeship.
<br />The contractor agrees to post in conspicuous places, available to employees and applicants for employment ,
<br />notices to be provided by the contracting officer setting forth the provisions of this nondiscrimination clause.
<br />11) The contractor will, in all solicitations and advertisements for employees placed by or on behalf of the
<br />contractor, state that all qualified applicants will receive consideration for employment without regard to
<br />race, color religion, physical handicap, sex, or national origin.
