<br />Amendment No. 1 to Last Revised 5/24/2024 <br />Consulting Services Agreement between City of San Leandro and <br />Terraphase Engineering, Inc. for Soil Risk Analysis Page 1 of 3 <br />AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />TERRAPHASE ENGINEERING, INC. <br />FOR <br />3RD PARTY REVIEW OF SOIL SCREENING AND ANALYSIS FOR IMPORTED SOIL FOR THE <br />MONARCH BAY GOLF COURSE GRADING PROJECT <br /> <br /> <br />This Amendment No.1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Terraphase Engineering, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of May <br />24, 2024, and amends that certain Consulting Services Agreement (“Agreement”) dated October 10, 2023, <br />between the Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to the 3rd party review of soil screening and analysis <br />for imported soil for the Monarch Bay Golf Course Grading Project, and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to include additional soil screening and <br />analysis review and an Ecological Screening Level Risk Evaluation of Vanadium in fill material. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $35,860; and <br /> <br />2. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />Task 3 – Prepare a Technical Memorandum summarizing the approach to, and outcome of, <br />the ecological screening level risk evaluation along with supporting tables, as needed, and <br />citations for the reference materials used. Specific scope items will consist of the following: <br /> <br /> Briefly describe the habitat available at the Monarch Bay Golf Course and the applicable <br />ecological receptor groups. <br /> Review information from the scientific literature on regional background concentrations for <br />vanadium in soil. <br /> Demonstrate that vanadium concentrations in the fill material are consistent with regional <br />background soil concentrations using applicable metrics (e.g., range, average, upper <br />bound values) <br /> Based on the above, determine whether vanadium represents a chemical of potential <br />ecological concern (COPEC) and, if so, further evaluate the potential significance of risk to <br />ecological receptors at the golf course from exposure to vanadium in the fill material <br />following golf course construction <br /> Prepare a draft technical memorandum for the City summarizing the approach and <br />outcome of the evaluation <br />DocuSign Envelope ID: A7236BEB-C8CF-4AB0-94AF-FAEE0878C32A
