Consulting Services Agreement between City of San Leandro and Last revised [MM/DD/YYYY] ___ for ___ Exhibit A – Page 1 of 1 EXHIBIT A SCOPE OF SERVICES Scope of Activities to be Performed Municipal Advisory Services1 will include the following: • Assist in developing the plan of finance and related transaction timetable; • Assist with the selection of the financing team including underwriters, trustee, bond and disclosure counsel; • Draft Interested Parties List; • Prepare and/or review preliminary cash flows; • Identify and analyze financing solutions/optimal structuring and alternatives for the financing; • Advise on the method of sale, taking into account market conditions and near -term activity in the municipal market; • Assist with negotiated sale, including advice regarding retail order periods and institutional marketing, analysis of comparable bonds and secondary market data, verify cash flow calculations, and serve as Pricing Advisor; • Credit analysis; • Review documents and reports and provide input on legal structure of bonds; • Assist in the preparation of any rating agency and bond insurer strategies and presentations; • Assist with underwriter compensation issues and bond allocations, as appropriate; • Analyze options for purposes of investment of bond proceeds; • Assist in procuring printer, etc.; • Plan and coordinate bond closings; • Prepare any required post-sale reports of bond sales, including an evaluation of market conditions and pricing performance of underwriter; • Draft staff reports for and attend meetings, including City Council meetings, and others as requested; From time to time, Urban Futures Inc. may provide other non-municipal advisory services including, but not limited to placement of loans/leases, disclosure services without materiality analysis, and other administrative functions.
