<br />Consulting Services Agreement between City of San Leandro and Last revised 05/16/2024 <br />Local Artists Berkeley (LAB) for the Temporary Public Art Program at Hesperian Triangle Exhibit A – Page 4 of 4 <br /> <br /> <br /> <br /> universe in any manner or medium now or hereafter <br />known or devised (including, without limitation, <br />interactive devices, mobile media, Internet, and on-line <br />systems any attribution or other credit are expressly <br />listed in the SOW. Parties agree that this license shall <br />expire immediately upon the completion of this SOW <br />and City shall have no rights in whole or in part to any <br />of Vendor’s Programming. Parties agree that all <br />copyright is owned by the artist(s) in which who <br />created the artwork. <br />V. Payment <br />Total Compensation for All Work & Termination City shall pay Vendor according to Exhibit B of this <br />Agreement attached below as the Compensation <br />Schedule & Reimbursable Expenses for the mutually <br />agreed budget for Temporary Public Art Program at <br />Hesperian Triangle. <br />The City reserves the right to cancel this agreement <br />without cause, subject to 60 days’ notice to Vendor. <br />City shall pay Vendor according to Exhibit B. City’s <br />failure to effect such payment schedule shall result in <br />Vendor discontinuing work until scheduled payment is <br />delivered. <br />Acts of God: <br />Company shall pay Vendor for completion of services <br />within the previously agreed upon timeline, regardless <br />of delays or incompletion of Scope of Work due to <br />environmental causes including but not limited to; <br />earthquake, flooding, rain, lightning, fire, volcano, <br />solar flares, comets, asteroids, terrorist attack, <br />warfare, chemical or biological attack, etc. <br />DocuSign Envelope ID: 4F235B4C-B996-465F-B39B-91E6535FC129
