Each Party 2200 <br />has cooperated in the drafting and preparation of this Agreement and this Agreement shall not be 2201 <br />construed against any Party on the basis of drafting. This Agreement may be amended only by an 2202 <br />agreement in writing, signed by each of the Parties hereto. 2203 <br />13.2 SECTION HEADINGS 2204 <br />The Article headings and Section headings in this Agreement are for convenience of reference only and 2205 <br />are not intended to be used in the construction of this Agreement nor to alter or affect any of its 2206 <br />provisions. 2207 <br />13.3 REFERENCES TO LAWS 2208 <br />All references in this Agreement to laws and regulations shall be understood to include such laws as they 2209 <br />may be subsequently amended or recodified, unless otherwise specifically provided herein. 2210 <br />13.4 AMENDMENTS 2211 <br />This Agreement may not be modified or amended in any respect except in writing signed by the Parties. 2212 <br />13.5 SEVERABILITY 2213 <br />If any non-material provision of this Agreement is for any reason deemed to be invalid and unenforceable, 2214 <br />the invalidity or unenforceability of such provision shall not affect any of the remaining provisions of this 2215 <br />Agreement, which shall be enforced as if such invalid or unenforceable provision had not been contained 2216 <br />herein. 2217 <br />13.6 COUNTERPARTS 2218 <br />This Agreement may be executed in counterparts, each of which shall be considered an original. 2219 <br />13.7 EXHIBITS 2220 <br />Each of the Exhibits identified as Exhibit “A” through “I” is attached hereto and incorporated herein and 2221 <br />made a part hereof by this reference.
