EXHIBIT A <br />DEFINITIONS <br />July 15, 2024 Page A-7 Post-Collection Agreement, Exhibit A <br />“Compost” or “Composting” (or any variation thereof) means the controlled biological decomposition of <br />Organic Materials such that the resulting material meets the maximum acceptable metal concentration <br />limits specified in Section 17868.2, pathogen reduction requirements specified in Section 17868.3 of Title <br />14, CCR Chapter 3.1, and the physical contamination limits of 14 CCR Section 17868.3.1. <br />“Compostable Paper” means paper products that are approved by the City and Contractor for Collection <br />or Processing as Organic Waste. <br />“Compostable Plastic(s)” means plastic materials that meet Compostability standards approved or <br />designated by the City and as set forth under Applicable Law. Compostable Plastic shall be a subset of <br />Organic Materials, if agreed by the City and Contractor. <br />“Construction and Demolition Debris” or “C&D” means discarded building materials, packaging, debris, <br />and rubble resulting from construction, alteration, remodeling, repair, or demolition operations on any <br />pavements, excavation projects, houses, Commercial buildings, or other structures, excluding Excluded <br />Waste. C&D Debris includes rocks, soils, tree remains, and other Yard Trimmings that result from land <br />clearing or land development operations in preparation for construction. <br />“Container(s)” means Bins, Carts, Compactors, Drop Boxes, and Public Litter Containers. <br />“Contractor” means Waste Management of Alameda County, Inc., a corporation organized and operating <br />under the laws of the State. <br />“Contractor’s Compensation” means the monetary compensation received by Contractor in return for <br />providing services in accordance with this Agreement as described in Article 8. <br />“Contractor’s Proposal” means the proposal submitted to City by Contractor on February 5, 2024 for <br />provision of Recyclable Materials, Organic Materials, C&D Debris, and Solid Waste Post-Collection Services <br />and certain supplemental written materials, which, as amended during negotiation of this Agreement, are <br />included as Exhibit G to this Agreement and are incorporated by reference. <br />“County” means the County of Alameda, California. <br />“Criminal Activity” means any of the following events or circumstances: <br />A. Convictions. The approval of a plea of nolo contendere or the entry against Contractor or any of its <br />employees of a criminal conviction or a permanent mandatory or prohibitory injunction from a <br />court, municipality, or regulatory agency of competent jurisdiction, based, in the case of any of <br />Contractor’s employees, on acts taken in their official capacity on behalf of Contractor with respect <br />to: <br />1. Fraud or criminal offense in connection with obtaining, attempting to obtain, procuring, or <br />performing a public or private agreement; or <br />2.
