<br />Non-Professional Services Agreement between October 25, 2024 <br />City of San Leandro and Holloway Environmental Solutions, LLC —Exhibit A Page 1 of 1 <br />EXHIBIT A <br /> <br />SCOPE OF SERVICES <br /> <br />Contractor will haul up to 1,000 wet tons of anaerobically digested Class B biosolids stockpiled at the City <br />of San Leandro Water Pollution Control Plant, located at 3000 Davis Street, San Leandro, CA 94577 . <br />These biosolids will meet EPA Part 503 Biosolids Rule for Class B biosolids. The City shall provide <br />laboratory analyses at least two weeks prior to product removal. <br /> <br />The biosolids shall be disposed of at the Holloway landfill facility located at 14045 Holloway Road, Lost <br />Hills, CA 93249. Any other disposal location must be approved by the Contract Administrator. <br /> <br />All trucks shall be tarped. <br /> <br /> <br />Contractor will coordinate and supply all required permits, equipment, labor, insurance, and materials <br />necessary to operate and monitor said waste project in accordance with all professional management <br />practices and any local regulations when applicable, with the exception as specified below. <br /> <br />Documentation <br /> <br />The Contractor is solely responsible for cleanup of any spills on public or private streets or properties. The <br />costs of any fines from improper management or accidental spillage shall be borne by the Contractor in its <br />entirety. <br /> <br />Summary report of certified weigh tickets for each load shall be attached to invoices. Summary shall <br />provide time/date of load, truck number, net & tare weight. <br /> <br />Additional Terms <br /> <br /> Contractor will not be responsible for finding an alternative site nor pay the difference in costs. <br /> The City shall be responsible for all sampling and lab testing costs if there is just cause to ensure <br />materials are within our permit limits. <br /> The City of San Leandro shall be responsible for loading the biosolids material into the trailers <br />using City personnel and equipment. <br /> Contractor can suspend services if sample results come back exceeding our permit limits and if <br />Contractor’s radiological sensor indicates a hot load. In this instance Contractor will not be <br />responsible for finding an alternative site nor pay the difference in costs. If material is rejected at <br />the gate, the City shall be responsible for the transport costs of material. <br /> In the unlikelihood that Holloway landfill is shut down, Contractor is not obligated to pay liquidated <br />damages or be responsible for finding/paying for an alternate disposal site. <br /> Invoicing shall be billed based on tonnages from Holloway’s certified scales. <br /> The City of San Leandro will pay promptly no later than thirty (30) days from invoice date. <br /> Holloway can suspend services if customer is delinquent over sixty (60) days. <br /> Late payments shall be charged $25 a day for every delinquent day until paid in full. <br />Docusign Envelope ID: 6A1419A9-16A8-43F5-A284-0203A66179B8
