FIRST AMENDMENT TO GROUND LEASE <br />This First Amendment to Ground Lease (the “Amendment”) is entered into as of <br />September 1, 2024, by and between the City of San Leandro, a California municipal corporation <br />("Lessor"), and Housing Consortium of the East Bay, a California nonprofit public benefit <br />corporation ("Lessee"). <br />RECITALS <br />A.Lessor and Lessee have entered into a “Ground Lease” dated as of October 30, <br />2023 with respect to that certain real property owned by Lessor which is located at 555 <br />Lewelling Boulevard, in the City of San Leandro, County of Alameda, State of California. <br />B.The Ground Lease provides for Lessor to ground lease the Leased Premises to <br />Lessee and for Lessee to convert it into an interim homeless shelter with twenty-nine apartment <br />units, navigation center for homeless persons and persons at risk of homelessness, offices for <br />management and services staff, meeting and conference spaces, community room, laundry room, <br />modular trailer for shower services for navigation center clients, modular trailer for office space, <br />parking, landscaping and lighting (the “Project”). <br />C.The Ground Lease provides for Lessor to provide a grant to Lessee to assist in the <br />cost of the development of the Project (the “City Rehabilitation Grant”) in the amount of Five <br />Million Two Hundred Thousand Dollars ($5,200,000), to be obtained from a special <br />appropriation from the State of California and other local, state and/or federal funds. <br />D.Lessor has obtained grants from the United States Department of Housing and <br />Urban Development (“HUD”) and the County of Alameda (“County”) which will be used to <br />provide a portion of the City Rehabilitation Grant. With respect to the HUD grant, HUD has <br />awarded the City a grant in the amount of $1,000,000 of Community Project Funds to be used <br />for the Project, and the City and HUD will enter into a FY2024 Community Project Funding <br />Grant Agreement for such funds (the “HUD Grant Agreement”). With respect to the County <br />grant, the City and the County have entered into an Agreement dated June 29, 2021 for the <br />County to provide a grant of $466,034 in HOME ARPA funds to be used for the Project (the <br />“County Grant Agreement”). <br />E.By this Amendment, the Parties desire to amend the Ground Lease to provide for <br />Lessee to comply with certain requirements applicable to the use of funds from the HUD grant <br />and the County grant, and other modifications as set forth herein. <br />NOW, THEREFORE, the Parties agree to amend the Ground Lease as follows: <br />1.Compliance with County Grant Requirements.
