Consulting Services Agreement between City of San Leandro and Last revised 11/14/2024 <br />Bay Area Harvest Exhibit A – Page 1 of 1 <br />EXHIBIT A <br />SCOPE OF SERVICES <br />Bay Area Harvest will provide a lunch program consisting of onsite delivery services of various lunch and <br />snack food items available for City employees to purchase. Employees will pay for food using a cashless <br />secure QR code-based system. There will be a unique QR code for each item that can be scanned using a <br />smartphone. The QR code will allow for multiple methods of cashless payment including credit/debit cards <br />and mobile wallets. <br />Consultant shall furnish the refrigerator and any other related equipment (the “Equipment”) for the <br />reasonable use and service of City employees only at the City facility located at 835 East 14th Street, San <br />Leandro, CA 94577. <br />City agrees to provide the necessary utilities and connections to the Equipment without cost therefore to <br />Consultant. <br />The Consultant will deliver and stock fresh food items to the designated Equipment and dispose of expired <br />items. <br />Consultant agrees to take all reasonable steps to prevent item shrinkage, damage and/or acts of vandalism <br />to said Equipment and any part thereof and the products contained therein. Consultant agrees to provide <br />the necessary insurance coverage for said Equipment. Consultant shall hold City harmless from all damage <br />or claims of damage to the Equipment or any loss due to shrinkage or theft; City will not be invoiced for <br />such loss or shrinkage. Consultant is provided the space for the Equipment within the City’s facilities as-is, where-is with all faults. Consultant assumes all risk of any loss under this <br />Agreement, and City shall not be held liable for any special, consequential, or general damages <br />under this Agreement, including but not limited to lost profits. The City will not incur, and Consultant <br />shall not charge service fees or other charges to City or City employees for the operation of the lunch <br />program or the use of City facilities for the Equipment. <br />Any substantial changes in location and/or arrangement of Equipment and/or services shall be by mutual <br />written consent of the Parties, including the addition of other similar Equipment to other City facilities. <br />Docusign Envelope ID: 6A63C1B1-BD6B-4E8D-9538-38489EEA78CB
