<br /> <br /> <br />Amendment No. 1 to <br />Consulting Services Agreement between City of San Leandro Last Updated 1/13/25 <br />RISE for Winter Warming Shelter Page 1 of 3 <br />AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />RISING INTO SELF EMPOWERMENT (RISE) FOR <br />Winter Warming Shelter 2025 <br /> <br /> <br />This Amendment No._1_ (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and RISE (“Consultant”) (together sometimes referred to as the “Parties”) as of January 14, 2025, and <br />amends that certain Consulting Services Agreement (“Agreement”) dated January 14, 2025, between the <br />Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to the Winter Warming Shelter 2025, and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to restructure the payment schedule and <br />scope of services (Exhibit A). <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed One Hundred Thousand Dollars ($100,000.00). Upon execution of this <br />Amendment, a 50 percent payment shall be issued to Consultant. The payment schedule will <br />then continue at 25 percent per month, scheduled for March 1st and April 1st. Monthly reports <br />and proof of expenditures shall be submitted to the City for review and approval. All funds not <br />exhausted through April 2025 are to be returned to the City. <br /> <br />2. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />II. Services to be Provided: The Consultant shall provide a bi-weekly shelter schedule to City <br />staff. Using the AccuWeather application (https://www.accuweather.com/), the Consultant will <br />determine the weather forecast for shelter operations every Sunday (for the Monday – <br />Wednesday shelter schedule) and Wednesday (for the Thursday – Sunday shelter schedule). <br />The Consultant shall communicate the shelter opening dates directly to the City no later than <br />12:00 PM every Sunday and Wednesday for the duration of the season. The City will update <br />the website with the shelter schedule every Monday by noon and make any necessary <br />schedule adjustments Thursday by noon. <br /> <br />3. Exhibit B of the Agreement entitled “Budget” is hereby amended to read: <br /> <br />Upon execution of this Amendment, the Consultant shall receive an initial payment of 50%. <br />Subsequent payments of 25% each will be issued on March 1 and April 1, 2025. The <br />Consultant shall submit monthly reports and proof of expenditures to the City for review and <br />approval.
