Amendment No. 1 to Consulting Services Agreement between City of San Leandro and Terraphase Engineering, Inc. for Supplemental Work on the Sea Level Rise Master Plan Page 1 of 3 AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND TERRAPHASE ENGINEERING INC. FOR SUPPLEMENTAL WORK ON THE SEA LEVEL RISE MASTER PLAN This Amendment No. 1 (“Amendment”) is made by and between the City of San Leandro (“City”) and Terraphase Engineering, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of __________________________, and amends that certain Consulting Services Agreement (“Agreement”) dated May 15, 2023, between the Parties. WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has provided certain consulting services to City with regard to the Supplemental Work on the Sea Level Rise Master Plan (“Plan”), and WHEREAS, the Parties desire to amend the Agreement to add development of multiple alternative surface inundation maps; mapping of critical infrastructure assets; evaluation of available groundwater elevation data to refine conclusions regarding sea level rise (SLR) in the San Leandro study area; development of outreach materials for multiple public meetings and; collaboration with neighboring operational landscape unit, and WHEREAS, as the Plan scope has been amended in response to grant funds received, which has effectively adjusted the name of the Plan: it is now also known by the City, Ocean Protection Council, and regional partners as the Shoreline Sea Level Rise Adaptation Plan. NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereby agree to amend the Agreement as follows: 1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the term from June 30, 2025, to June 30, 2026; and 2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a sum not to exceed $295,093, an increase of $134,093; and 3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to add the following: Task 2 – Compile SLR Data and Background Interviews a. Collect critical asset data b. Evaluate ground water elevation data to refine conclusions regarding SLR in the San Leandro study area Task 3 – Public Outreach a. Develop community outreach materials Task 4 – Develop Adaptation Response a.
