These Terms & Conditions shall prevail over all contradicting indications in the Non-Professional Service <br />Agreement dated 25Mar2025, to which this Exhibit A is attached. <br />2. All sales are final. Prices good for 90 days. <br />3. Fabrication begins upon receiving $25,150 deposit. <br />4. Balance due when shade sails erected to Owner satisfaction, except 5% retention accepted. <br />5. Interest compounded at 1.5% per month on account balances 30+ days overdue. <br />6. Contractor not required to obtain building permit; engage a safety engineer; or personally attend a preconstruction <br />conference. However, Contractor will attend a meeting held by telephone or video conferencing. <br />7. Contractor will subcontract all construction work to ShadeWorX, who will be present onsite during all work. <br />ShadeWorX will also engage Shade-M as its subcontractor to work onsite. <br />8.
