IN THE CITY COUNCIL OF THE CITY OF SAN LEANDRO RESOLUTION NO. 2025-120 RESOLUTION CONSENTING TO THE ASSIGNMENT OF LEASE, DATED MAY 21, 2012, BETWEEN FAMILY SERVICE OF SAN LEANDRO AND HIVELY, AND AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE THE SAME WHEREAS, on May 21, 2012, the City of San Leandro and Family Service of San Leandro doing business as Family Service Counseling and Community Resource Center (“Family Service”) entered into a lease agreement (“Lease”) for certain real property located at 2208 San Leandro Boulevard, San Leandro, California; and WHEREAS, Section 3 of the Lease provides that the Lease may not be assigned or sublet by Family Service without the consent in writing of the City Council of the City of San Leandro; and WHEREAS, on July 1, 2019, Family Service and Hively, a California nonprofit public benefit corporation, entered into an Asset Purchase Agreement wherein Family Service transferred all of its assets to Hively; and WHEREAS, Family Service desires to assign all of its right, title and interest in the Lease to Hively and Hively desires to assume the same; and WHEREAS, Family Service and Hively desire to obtain the consent of the City Council of the City of San Leandro for such assignment; and WHEREAS, the City Council desires to consent to such assignment. NOW, THEREFORE, the City Council of the City of San Leandro does RESOLVE as follows: That the recitals above are found to be true and correct and hereby incorporated into this Resolution; and That the City Council does hereby consent to the Assignment of Lease (“Assignment”), between Family Service of San Leandro (dba Family Service Counseling and Community Resource Center) and Hively related to that certain Lease, dated May 21, 2012, by and between the City of San Leandro and Family Service of San Leandro, a copy of which is attached hereto and incorporated herein by this reference, and is hereby approved; and That the City Manager is hereby authorized and directed to execute the consent to such assignment, in the form attached hereto, with minor revisions that may be approved by the City Manager and/or the City Attorney as to form.
