<br />Amendment No. 4 to <br />Consulting Services Agreement between City of San Leandro and Terraphase Engineering, Inc 7/17/25 <br />for Treatment Wetland Design Services Page 1 of 11 <br />AMENDMENT NO. 4 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND <br />TERRAPHASE ENGINEERING, INC <br />FOR <br />ENVIRONMENTAL DESIGN SERVICES FOR A TREATMENT WETLAND AT THE CITY OF SAN <br />LEANDRO WATER POLLUTION CONTROL PLANT <br /> <br /> <br />This Amendment No.4 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Terraphase Engineering, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of July <br />17, 2025, and amends that certain Consulting Services Agreement ( “CSA” or “Agreement”) dated October <br />15, 2019,between the Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to environmental design services for a treatment <br />wetland at the City of San Leandro Water Pollution Control Plant, and <br /> WHEREAS, the Parties desire to amend the Agreement to add scope and fee related to additional <br />construction management engineering and management support. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the <br />term from June 30, 2025, to June 30, 2027; and <br /> <br />2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $1,581,464; and <br /> <br />3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />Task 1: Premobilization Phase Engineering, CM, Compliance Management <br />The premobilization phase of the project is defined as the period beginning with City issuance of Notice to <br />Proceed to the Contractor and ending with the start of Contractor mobilization to the site. This phase <br />typically includes project kickoff meetings, and preparation, submittal, and review (as specified in the <br />contract documents) of Terraphase and Contractor premobilization operational plans and submittals, <br />especially plans and submittals that require approval before the Contractor is authorized to mobilize to the <br />Site. <br /> <br />Terraphase will provide engineering/QA, CM, and CGP compliance management as described in the <br />Engineering, Construction, and CGP Compliance Management Scope of Work described above during the <br />premobilization phase of the project and as further defined below: <br />• Purchase a one-year project-specific Procore license and set up the Procore CMIS for the <br />project.
