Amendment No. 2 to Consulting Services Agreement between City of San Leandro and Gates & <br />Associates for Shoreline Park at the Marina, Project No. 2020.3080 Page 1 of 2 <br />AMENDMENT NO. 2 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND <br />GATES + ASSOCIATES <br />FOR <br />SHORELINE PARK AT THE MARINA <br />This Amendment No._2__ (“Amendment”) is made by and between the City of San Leandro <br />(“City”) and GATES & ASSOCIATES (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />___________________, and amends that certain Consulting Services Agreement ( “CSA” or <br />“Agreement”) dated March 5, 2024, between the Parties. <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to Shoreline Park at the Marina Project; and <br />WHEREAS, the Parties desire to amend the Agreement to include additional strategic <br />environmental permitting support services for the Emergency Demolition Project related to draft permit <br />review and condition negotiations with regulatory agencies and work-window extension coordination. <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $3,046,462.84, which is an increase of $10,560.00; and <br />2.Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to include: <br />Task 2: Provide on as-needed basis strategic support services to the City for both San Leandro <br />Marina Emergency Demolition Project and Cal-Coast Monarch Bay Shoreline Development Project <br />related to draft permit review and condition negotiations with regulatory agencies and work-window <br />extension coordination. <br />3.Exhibit B of the Agreement entitled “Compensation Schedule & Reimbursable Expenses” is <br />hereby amended to include: <br />Original Contract: $3,015,700.00 <br />Amendment No. 01 $20,202.84 <br />Amendment No. 02 $10,560.00 (new) <br />Revised PO Total: $3,046,462.84 <br />4.Except as modified by this Amendment, all other terms shall remain in full force and effect. <br />This Amendment may be executed in multiple counterparts, each of which shall be an original and <br />all of which together shall constitute one agreement. <br />SIGNATURES ON FOLLOWING PAGE <br />Docusign Envelope ID: E1405574-F87E-4244-9B0D-4773F6185D11 <br />July 25, 2025 | 3:50:45 PM PDT
